1. Introduction
EMA Trades and Services Company (hereinafter referred to as “EMA”, “we”, “us”, or “our”) is a MISA-registered, 100% foreign-owned limited liability company headquartered in Riyadh, Kingdom of Saudi Arabia. These Terms and Conditions govern all orders, sales, supply of products, and services provided by EMA.

 

2. Definitions

“Customer” or “you” means the individual or entity placing an order or using our services.
“Products” means all goods, spare parts, equipment, and materials offered by EMA.
“Services” means engineering, logistics, technical support, and other services provided by EMA.
“Order” means any purchase order, quotation acceptance, or contract concluded with EMA.

 

3. Acceptance of Terms
These Terms and Conditions, together with any specific quotation or order confirmation, constitute the entire agreement between EMA and the Customer. Any conflicting terms in the Customer’s purchase order or other documents are expressly rejected unless accepted in writing by EMA.

 

4. Orders and Contracts
All orders are subject to EMA’s written acceptance. EMA reserves the right to refuse any order without reason. Once accepted, an order forms a binding contract. The Customer is responsible for providing accurate specifications, quantities, and delivery details.

 

5. Pricing and Payment
Prices are quoted in Saudi Riyals (SAR) and are subject to change without notice until the order is confirmed. Payment terms are as stated in the quotation or order confirmation. Unless otherwise agreed, full payment is required prior to delivery. Late payments will incur a monthly service charge of 1.5% or the maximum permitted under Saudi law.

 

6. Delivery and Shipping
Delivery dates are estimates only and are not guaranteed. EMA shall not be liable for delays caused by force majeure, customs clearance, or events beyond its reasonable control. Risk of loss passes to the Customer upon delivery to the carrier. Title remains with EMA until full payment is received.

 

7. Warranties and Returns
All products are sold with the manufacturer’s standard warranty only. EMA makes no additional warranties unless expressly stated in writing. Returns are accepted only with prior written approval and are subject to restocking fees and inspection. Custom or reverse-engineered parts are non-returnable.

 

8. Limitation of Liability
To the maximum extent permitted by Saudi law, EMA’s total liability shall not exceed the value of the specific order. EMA shall not be liable for indirect, consequential, or incidental damages, loss of profit, or business interruption.

 

9. Intellectual Property
All designs, drawings, technical data, and intellectual property provided by EMA remain the exclusive property of EMA or its licensors. The Customer may not copy, reproduce, or use such materials without prior written consent.

 

10. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the business relationship and to use it solely for the purpose of fulfilling the order.

 

11. Force Majeure
EMA shall not be liable for any failure or delay caused by events beyond its reasonable control, including but not limited to acts of God, war, strikes, government regulations, pandemics, or supply chain disruptions.

 

12. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.

 

13. Amendments
EMA reserves the right to amend these Terms and Conditions at any time. The current version is always available on our website. Continued use of our services after any amendment constitutes acceptance of the updated Terms.
